SARNIA HOCKEY ASSOCIATION

A by-law relating to the transaction of the activities and affairs of Sarnia Hockey Association (the "Corporation").

Be it enacted as a by-law of the Corporation as follows: 

ARTICLE 1 Interpretation

1.1 Definitions

In this By-law, unless the context otherwise requires:

  1. (a)  "Act" means the Not-for-Profit Corporations Act, 2010 (Ontario) and where the context requires, includes the regulations made under it, as amended from time to time;

  2. (b)  ALLIANCE” means the Minor Hockey Alliance of Ontario (ALLIANCE Hockey or such name that the ALLIANCE may in future adopt)

  3. (c)  "Articles" means any instrument that incorporates the Corporation or modifies its incorporating instrument, including articles of incorporation, restated articles of incorporation, articles of amendment, articles of amalgamation, articles of arrangement, articles of continuance, articles of dissolution, articles of reorganization, articles of revival, letters patent, supplementary letters patent or special act;

  4. (d)  "Board" means the board of directors of the Corporation;

  5. (e)  "By-law" means this by-law of the Corporation;

  6. (f)  "Chair" means the chair of the Board;

  7. (g)  "President" means the individual elected as president of the Corporation;

  8. (h)  "Corporation" means Sarnia Hockey Association;

  9. (i)  "Director/Officer" means an individual elected or appointed to the Board. References to Director or Officer in this Constitution /By Law shall be deemed to be interchangeable.

  10. (j)  "Ex-officio" means membership "by virtue of office" and includes all rights, responsibilities, and power to vote unless otherwise specified;

  11. (k)  “Hockey Canada” – means Hockey Canada (or such name as Hockey Canada may in the future legally adopt);

  12. (l)  "Members" means members of the Corporation as described in Article 2;

  1. (m)  OHF” means the Ontario Hockey Federation (or such name as the OHF may in the future legally adopt).

  2. (n)  "Ordinary Resolution" means a resolution passed by majority (i.e., more that 50%) of the votes cast on the resolution;

  3. (o)  "Policies" means a rule or a policy adopted by the Board Error! Reference source not f ound.;

  4. (p)  "Secretary" means the secretary of the Board;

  5. (q)  "Special Business" has the meaning given to such term in the Act and includes any business other than: consideration of the financial statements, consideration of the audit report, election of Directors, and reappointment of the incumbent auditor;

  6. (r)  "Special Resolution" means a resolution that is submitted to a special Members' meeting duly called for the purpose of considering the resolution and passed at the meeting, with or without amendment, by at least two-thirds of the votes cast, or consented to by each Member entitled to vote at a Members' meeting;

  7. (s)  "Telephonic or Electronic Means" means any means that uses the telephone or any other electronic or other technological means to transmit information or data, including telephone calls, voice mail, fax, e-mail, automated touch-tone telephone system, computer or computer networks;

  8. (t)  "Vice President" means one or more vice president(s) of the Board.

Interpretation

In this By-law, unless the context otherwise requires and other than as specifically defined in this By-law, all terms contained in this By-law that are defined in the Act shall have the meanings given to the terms in the Act, words importing the singular shall include the plural and vice versa, references to persons shall include firms and corporations, words importing one gender shall include the opposite, and headings are used for convenience of reference and do not affect the interpretation of this By-law.


1.3 Name and Head Office

The name of the of the Corporation shall be the SARNIA HOCKEY ASSOCIATION.

The registered office of the Sarnia Hockey Association shall be in the City of Sarnia, in the Province of Ontario, and as such place therein as the Board may from time to time determine.


1.4 Purpose of the Organization

The purpose of the Sarnia Hockey Association shall be:

To provide opportunities for all players to participate in the game of ice hockey at a level appropriate to their degree of skill and interest.

To develop programs to promote and teach the importance of physical activity through friendly competition.

To teach the youth of the Sarnia Hockey Association team play, good sportsmanship, self- discipline and good character among players.

To develop leadership skills in coaches, officials, local volunteers and parents.


1.5 Affiliations

The Corporation shall have the following affiliations:

It shall be a member of the ALLIANCE under the auspices of the Ontario Hockey Federation and Hockey Canada.

It shall be a member of the Sarnia Lambton Jr. Sting AAA Hockey Club. It shall operate in cooperation with the City of Sarnia.
